Welcome to Colpare. These Terms of Service (the "Terms") govern your use of Colpare (the website "colpare.com" and its software products), its services, features, and content (collectively, the "Services"), so please read them carefully.

By using the Services, you agree to be bound by these Terms. If you don't agree to these Terms, you may not use the Services.

Eligibility

Content

Colpare allows users to upload, submit, store, and share content, including but not limited to text, images, audio, and video (collectively, "User Content"). You retain all ownership rights to your User Content, but you grant Colpare a non-exclusive, transferable, sub-licensable, royalty-free, worldwide license to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, perform, and display your User Content in connection with the Services and Colpare's business.
You are responsible for your User Content and any consequences that may arise from it. You agree not to submit any User Content that:

• is false, misleading, or inaccurate;
• infringes any intellectual property rights, privacy rights, or other proprietary rights of any party;
• contains any viruses, worms, Trojan horses, or other harmful code;
• is defamatory, libelous, obscene, pornographic, or otherwise offensive;
• promotes or incites violence, hatred, discrimination, or illegal activities;
• violates any applicable laws or regulations

Colpare reserves the right to remove or disable any User Content that violates these Terms or for any other reason.

Prohibited Conduct

By using the Services, you agree not to: violate any applicable laws or regulations; use the Services for any illegal or unauthorized purpose; interfere with or disrupt the Services or servers or networks connected to the Services; circumvent or manipulate the security features of the Services; harass, abuse, or harm another person or entity; impersonate or falsely represent your affiliation with any person or entity; collect or store personally identifiable information about other users without their consent; engage in any activity that may damage or harm Colpare's reputation or business.
Colpare reserves the right to suspend or terminate your access to the Services for any violation of these Terms.

Intellectual Property

Colpare owns all intellectual property rights in and to the Services, including but not limited to trademarks, copyrights, patents, trade secrets, and other proprietary rights.
You may not use any of Colpare's intellectual property without our prior written consent.

Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, OR NON-INFRINGEMENT. Colpare DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED OR ERROR-FREE, THAT DEFECTS WILL BE CORRECTED, OR THAT THE SERVICES ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

Limitation of Liability

IN NO EVENT SHALL Colpare BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES ARISING OUT OF OR IN CONNECTION WITH THE SERVICES OR THESE TERMS, WHETHER BASED ON CONTRACT, TORT, STRICT LIABILITY, OR OTHERWISE,EVEN IF Colpare HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

Indemnification

You agree to indemnify, defend, and hold harmless Colpare, its affiliates, officers, directors, employees, agents, and licensors from any claim, demand, loss, damage, cost, or expense (including reasonable attorneys' fees) arising out of or in connection with your use of the Services or your User Content.

Termination

These Terms will remain in effect until terminated by either party. You may terminate these Terms by discontinuing your use of the Services. Colpare may terminate these Terms at any time without notice or liability. Upon termination, you must immediately cease all use of the Services.

Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the state of Gujarat, within the Union of India without giving effect to its conflicts of law principles. You agree to submit to the personal jurisdiction of the state and federal courts located in Vadodara District (Head Office) or Ahmeadabad District (ROC Office), California for the resolution of any disputes arising out of or relating to these Terms or the Services.

Miscellaneous

These Terms constitute the entire agreement between you and Colpare regarding the Services and supersede all prior agreements or understandings, whether written or oral. If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect. No waiver of any provision of these Terms shall be deemed a further or continuing waiver of such provision or any other provision. Colpare may assign these Terms without your consent. You may not assign these Terms or transfer any rights to use the Services without Colpare's prior written consent.
